1. INTRODUCTION AND ACCEPTANCE

Welcome to Loop Music (“Loop,” “we,” “us,” or “our”). These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” “Member” or “User”) and Loop Music Ltd regarding your access to and use of the Loop Music mobile application, website, and related services (collectively, the “Platform”).

By creating an account, accessing, or using Loop Music, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and Community Guidelines.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.


2. ABOUT LOOP MUSIC

Loop Music is an artist-owned platform revolutionising independent music by providing tools for:

  • Global Collaboration: Connecting independent musicians, producers, and creatives worldwide
  • Brand Building: Professional portfolio and profile management tools
  • Music Distribution: Direct access to streaming platforms globally
  • Revenue Control: Transparent royalty tracking and direct monetisation (100% artist ownership)

Loop Music operates as artist-owned infrastructure for the Web 3.0 music economy, empowering creators to build, control, and profit from their own platforms without traditional gatekeepers.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirements

You must be at least 13 years of age to use Loop Music. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you may only use Loop Music with the consent and supervision of a parent or legal guardian who agrees to these Terms.

Users under 18 must have their parent or guardian review and accept these Terms on their behalf.

3.2 Account Creation

To access certain features, you must create an account by providing:

  • Valid email address
  • Username (unique identifier)
  • Password (minimum 8 characters, including lowercase and special characters)
  • Artist information and creative profile

3.3 Account Security

You are solely responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breaches

We are not liable for losses resulting from unauthorized use of your account.

3.4 Account Authenticity

You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Not impersonate any person or entity
  • Not create multiple accounts for the same individual
  • Not create accounts using automated means or false pretenses

Violation of these requirements may result in immediate account termination.


4. SUBSCRIPTION PLANS AND PAYMENT TERMS

4.1 Subscription Tiers

Loop Music offers the following subscription plans:

FREE PLAN

  • Cost: ยฃ0.00
  • Features: Basic profile, local discovery, 5 collaboration requests/month, community forum access, basic messaging (5 contacts/month), 1GB storage
  • Limitations: Limited collaboration and messaging capacity

GLOBAL PLAN

  • Cost: ยฃ25.00 (one-time annual payment)
  • Features: Global discovery, 25 collaboration requests/month, advanced profile customisation, priority search placement, 10GB storage, Loop membership card
  • Billing: One-time payment with one year access to Global tier features

PREMIUM PLAN

  • Cost: ยฃ5.99/month or ยฃ60.00/year (save 20%)
  • Features: Unlimited collaborations, professional portfolio (EPK-style), early feature access, basic distribution (quarterly releases), advanced analytics, 50GB storage, priority support

PROFESSIONAL PLAN

  • Cost: ยฃ14.99/month or ยฃ150.00/year (save 17%)
  • Features: Unlimited distribution, revenue tracking, direct-to-fan monetization, industry showcase, quarterly strategy sessions, 200GB storage, custom branding, API access

TEAMS PLAN

  • Cost: ยฃ75.00/month or custom enterprise pricing
  • Features: Multi-artist management, team collaboration tools, white-label solutions, bulk licensing, dedicated account manager, 1TB storage, advanced analytics, custom integrations

4.2 Payment Processing

  • Payments are processed through secure third-party payment providers (Stripe, Paypal, Apple In-App Purchase)
  • You authorise Loop Music to charge your selected payment method for all fees
  • All prices are in British Pounds (GBP) unless otherwise stated
  • Prices are subject to applicable taxes and fees

4.3 Billing and Renewals

  • Monthly Subscriptions: Automatically renew on the same day each month
  • Annual Subscriptions: Automatically renew on the anniversary of your initial purchase
  • One-Time Annual Payments (Global): No automatic renewal; one year access to tier features.
  • You will receive email notification prior to renewal
  • Renewal charges occur automatically unless you cancel before the renewal date

4.4 Refund Policy

  • 30-Day Money-Back Guarantee: All paid plans include a 30-day money-back guarantee from initial purchase
  • Refund requests must be submitted to support@loopmusic.co within 30 days
  • No refunds for partial subscription periods after the 30-day guarantee window
  • One-time Global Plan payments are refundable within 30 days of purchase
  • Refunds are not provided for violations of these Terms resulting in account termination

4.5 Cancellation

  • You may cancel your subscription at any time through Account Settings
  • Downgrades: Take effect at the next billing cycle
  • Upgrades: Take effect immediately with pro-rated charges
  • Upon cancellation, you retain access until the end of the current billing period
  • No penalties for cancellation; your content and connections remain accessible

4.6 Price Changes

  • We reserve the right to modify subscription pricing with 30 days’ advance notice
  • Price changes do not affect active subscriptions until renewal
  • Continued use after price changes constitutes acceptance of new pricing

5. USER CONTENT AND INTELLECTUAL PROPERTY

5.1 Ownership of Your Content

You retain complete ownership of all content you upload, including:

  • Musical compositions and sound recordings
  • Lyrics, artwork, photos, and videos
  • Profile information, posts, and messages
  • Collaboration projects and derivative works created on the Platform

Loop Music never claims ownership of your creative work. You own your masters, publishing rights, and all intellectual property.

5.2 License Grant to Loop Music

By uploading content to Loop Music, you grant us a limited, non-exclusive, royalty-free, worldwide license to:

  • Host, store, reproduce, and display your content on the Platform
  • Distribute your content to streaming platforms (when using distribution features)
  • Create thumbnails, transcodes, and format variations for technical delivery
  • Use your content for Platform promotion and marketing (with attribution)

This license:

  • Exists only while you maintain your account
  • Terminates when you delete content or close your account (except for legally required archival)
  • Does not grant Loop Music ownership or exclusive rights
  • Does not permit Loop Music to sell, sublicense, or commercially exploit your content beyond Platform services

5.3 Music Distribution Rights

When using Loop Music’s distribution services:

  • You warrant that you own or have licensed all necessary rights to distribute the content
  • You retain 100% of streaming royalties – Loop Music takes zero percentage of your earnings
  • You grant Loop Music authority to deliver your music to third-party streaming services (Spotify, Apple Music, etc.) on your behalf
  • You understand distribution to streaming platforms is subject to their respective terms and policies
  • You are responsible for ensuring all samples, features, and compositions are properly cleared

5.4 Collaboration Content

For collaborative works created on Loop Music:

  • Default ownership is shared equally among all contributors unless otherwise agreed
  • Contributors should use Loop Music’s built-in collaboration agreements to specify ownership terms
  • All collaborators must consent to distribution of collaborative works
  • Disputes regarding collaborative content ownership are the responsibility of the collaborating parties

5.5 Content Removal

We reserve the right to remove content that:

  • Violates these Terms or Community Guidelines
  • Infringes third-party intellectual property rights
  • Is reported by users and confirmed to violate Platform policies
  • Violates applicable laws or regulations

Removed content does not affect your ownership rights; you may republish elsewhere.

5.6 Backup and Content Loss

  • You are responsible for maintaining backup copies of all content
  • Loop Music is not liable for content loss due to technical failures, account termination, or service interruptions
  • We recommend downloading or backing up your content regularly

6. PROHIBITED CONDUCT AND CONTENT

6.1 Prohibited Content

You may not upload, post, or share content that:

Illegal Content:

  • Violates any local, national, or international law
  • Infringes copyright, trademark, patent, or other intellectual property rights
  • Contains unauthorized samples, beats, or compositions
  • Promotes illegal drug use, violence, or criminal activity

Harmful Content:

  • Depicts, promotes, or glorifies child abuse or exploitation (zero tolerance)
  • Contains extreme violence, gore, or graphic injury
  • Promotes self-harm, suicide, or eating disorders
  • Constitutes hate speech targeting race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics

Inappropriate Content:

  • Contains non-consensual sexual content or revenge pornography
  • Sexualizes minors in any form
  • Harasses, bullies, threatens, or intimidates other users
  • Shares private information without consent (doxxing)

Deceptive Content:

  • Impersonates another person or entity
  • Contains false, misleading, or fraudulent information
  • Misrepresents your identity, credentials, or affiliations
  • Artificially inflates engagement metrics or manipulates algorithms

6.2 Prohibited Activities

You may not:

Technical Violations:

  • Use automated bots, scripts, or scrapers to access the Platform
  • Reverse engineer, decompile, or attempt to extract source code
  • Circumvent security measures, authentication, or access controls
  • Introduce viruses, malware, or harmful code
  • Overload or interfere with Platform infrastructure

Platform Abuse:

  • Create multiple accounts to evade bans or restrictions
  • Engage in spam, unsolicited advertising, or phishing
  • Manipulate XP, reputation systems, or collaboration metrics
  • Buy, sell, or transfer accounts
  • Use the Platform for commercial purposes beyond music promotion (e.g., multi-level marketing)

Community Harm:

  • Harass, stalk, or intimidate users
  • Coordinate brigading or mass reporting
  • Share explicit content with minors
  • Solicit money, passwords, or personal information deceptively

6.3 Content Moderation

Loop Music employs:

  • Automated filtering using ContentModerationService for prohibited language and content
  • User reporting systems for community-driven moderation
  • Manual review by moderation team for reported content
  • Severity-based actions ranging from warnings to permanent bans

Moderation decisions consider context, intent, and artistic expression while prioritising user safety.


7. COLLABORATION AND COMMUNITY FEATURES

7.1 Collaboration Requests

  • Collaboration requests are subject to tier-based limits (Free: 5/month, Global: 25/month, Premium+: Unlimited)
  • Users may decline collaboration requests without explanation
  • Persistent unwanted contact may result in blocking or account action

7.2 Collaboration & Project Agreements

  • Loop Music provides built-in collaboration agreement templates
  • Users are encouraged to document ownership splits, credit attribution, and revenue sharing
  • Loop Music is not a party to collaboration agreements and is not liable for disputes
  • Collaboration disputes must be resolved between collaborating parties

7.3 XP and Reputation System

  • Loop Music uses an XP (experience point) system to reward active, positive participation
  • XP is earned through profile completion, collaborations, content uploads, and community engagement
  • Reputation scores track collaboration completion rates and user reliability
  • Manipulation of XP or reputation systems violates these Terms

7.4 Messaging and Communication

  • Messaging limits apply based on subscription tier
  • All messages are subject to content moderation
  • Users may block others to prevent further contact
  • Loop Music may review reported messages to enforce Community Guidelines

8. MUSIC DISTRIBUTION SERVICES

8.1 Distribution Eligibility

To use Loop Music’s distribution features:

  • You must have an active Premium, Professional, or Teams subscription
  • You must own or have licensed all rights to the distributed content
  • Content must meet technical specifications (provided in distribution guidelines)
  • Content must comply with streaming platform content policies

8.2 Distribution Process

  • Standard Distribution: 7-14 days to major platforms
  • Premium/Professional: 3-5 days with priority processing
  • Rush Distribution: Same-day service available for additional fee
  • Distribution to: Spotify, Apple Music, Amazon Music, YouTube Music, Deezer, Tidal, and 100+ platforms

8.3 Royalty Collection

  • You retain 100% of streaming royalties earned from distributed music
  • Loop Music does not take a percentage of your royalty earnings
  • Royalties are paid directly by streaming platforms or through designated distributors
  • Royalty tracking and analytics are provided via the Platform dashboard

8.4 Content Removals and Takedowns

  • You may remove your music from distribution at any time
  • Takedown requests may take 7-14 business days to process
  • Loop Music will comply with valid DMCA and copyright infringement notices
  • False or fraudulent takedown requests may result in account termination

8.5 Distribution Limitations

  • Loop Music is not responsible for streaming platform rejections, removals, or policy violations
  • Some platforms may have additional content requirements beyond Loop Music’s control
  • Distribution does not guarantee playlist placement, promotion, or streaming success

9. PRIVACY AND DATA PROTECTION

9.1 Data Collection and Use

Your use of Loop Music is governed by our Privacy Policy, which describes:

  • What personal data we collect
  • How we use your information
  • Data sharing with third parties
  • Your rights regarding your data
  • Data security measures

9.2 User Location Data

  • Loop Music uses location data to facilitate local and global musician discovery
  • Location sharing is optional but enhances collaboration opportunities
  • You may disable location services at any time in device settings

9.3 Analytics and Performance Data

  • We collect aggregated analytics to improve Platform performance
  • Analytics include XP tracking, collaboration success rates, and user engagement metrics
  • Individual user data is anonymized for aggregate reporting

9.4 Data Retention

  • User account data is retained while your account is active
  • Upon account deletion, personal data is removed within 30 days (except legally required archives)
  • Content you uploaded may be retained if distributed to third-party platforms

9.5 GDPR and Data Subject Rights

For users in the European Economic Area (EEA) and UK:

  • You have the right to access, correct, delete, and export your personal data
  • You have the right to object to data processing
  • You may lodge complaints with data protection authorities

10. INTELLECTUAL PROPERTY PROTECTION

10.1 Copyright Infringement (DMCA)

Loop Music complies with the Digital Millennium Copyright Act (DMCA) and equivalent international laws.

If you believe your copyrighted work has been infringed:

  1. Submit a DMCA notice to: copyright@loopmusic.co
  2. Include:
    • Your contact information
    • Description of the copyrighted work
    • URL or location of the infringing content
    • Statement of good faith belief that use is unauthorized
    • Statement that information is accurate under penalty of perjury
    • Physical or electronic signature

Counter-Notifications: Users who believe content was wrongly removed may submit a counter-notification.

Repeat Infringer Policy: Accounts with multiple substantiated copyright violations will be permanently terminated.

10.2 Trademark Protection

  • Loop Music, Loop Music logos, and branding are protected trademarks
  • Unauthorized use of Loop Music trademarks is prohibited
  • Users may not use Loop Music branding to suggest affiliation, endorsement, or sponsorship without written permission

11. DISCLAIMERS AND LIMITATIONS OF LIABILITY

11.1 Platform “AS IS”

LOOP MUSIC IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Guarantees of uninterrupted, secure, or error-free service
  • Guarantees of accurate, complete, or reliable content
  • Guarantees of successful collaborations, distribution, or career outcomes

11.2 User Responsibility

You acknowledge and agree that:

  • Loop Music is a platform that facilitates connections but does not guarantee collaboration success
  • You are solely responsible for your interactions with other users
  • Loop Music does not vet, endorse, or verify users’ identities, credentials, or claims
  • You should exercise caution when sharing personal information or meeting users in person

11.3 Third-Party Services

  • Loop Music integrates with third-party services (streaming platforms, payment processors, map services)
  • We are not responsible for third-party service failures, policy changes, or content removals
  • Third-party services have their own terms and privacy policies

11.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOP MUSIC SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, consequential, punitive, or exemplary damages
  • Loss of profits, revenue, data, or business opportunities
  • Content loss due to technical failures, security breaches, or account termination
  • Disputes, conflicts, or harm arising from user interactions
  • Unauthorized access to your account resulting from your failure to secure credentials

TOTAL LIABILITY CAP: Loop Music’s total liability for any claims arising from these Terms or the Platform shall not exceed the amount you paid to Loop Music in the 12 months preceding the claim, or ยฃ100, whichever is greater.

11.5 Jurisdictional Limitations

Some jurisdictions do not allow exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.


12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Loop Music, its affiliates, officers, directors, employees, contractors, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Platform
  • Your violation of these Terms or applicable laws
  • Your content and any claims that it infringes third-party rights
  • Your interactions with other users
  • Your distribution of music through the Platform

This indemnification obligation survives termination of these Terms.


13. TERMINATION

13.1 Termination by You

You may terminate your account at any time by:

  • Navigating to Account Settings โ†’ Delete Account
  • Contacting support@loopmusic.co

Upon termination:

  • You lose access to the Platform immediately
  • Active subscriptions are canceled (with pro-rated refunds if eligible)
  • Your content may be retained for up to 30 days for backup purposes
  • Content distributed to third-party platforms remains on those platforms until you separately remove it

13.2 Termination by Loop Music

We reserve the right to suspend or terminate your account immediately without notice if:

  • You violate these Terms, Privacy Policy, or Community Guidelines
  • You engage in fraudulent, harmful, or illegal activity
  • Your account is subject to legal action or regulatory orders
  • Your account has been inactive for over 24 months

Grounds for Immediate Termination:

  • Zero-tolerance violations (child abuse content, credible threats of violence)
  • Repeated intellectual property infringement
  • Severe harassment or hate speech
  • Platform security threats

13.3 Effect of Termination

Upon termination:

  • All licenses you granted to Loop Music terminate (except legally required archives)
  • Outstanding payment obligations remain due
  • Loop Music may retain minimal information to prevent re-registration by banned users
  • Sections of these Terms that by their nature should survive (indemnification, limitation of liability, governing law) continue to apply

14. DISPUTE RESOLUTION

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@loopmusic.co to attempt informal resolution. We will work in good faith to resolve disputes within 30 days.

14.2 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

14.3 Jurisdiction

You agree that any disputes arising from these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14.4 Class Action Waiver

To the extent permitted by law, you agree to resolve disputes on an individual basis and waive the right to participate in class actions, class arbitrations, or representative proceedings.


15. GENERAL PROVISIONS

15.1 Modifications to Terms

We may modify these Terms at any time by:

  • Posting updated Terms on the Platform with a revised “Last Updated” date
  • Notifying users via email or in-app notification

Continued use after changes constitutes acceptance. If you do not agree to modifications, you must discontinue use and may terminate your account.

15.2 Entire Agreement

These Terms, together with the Privacy Policy and Community Guidelines, constitute the entire agreement between you and Loop Music regarding the Platform.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

15.4 No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

15.5 Assignment

You may not assign or transfer these Terms without our written consent. Loop Music may assign these Terms to any successor or affiliate.

15.6 Force Majeure

Loop Music is not liable for failure to perform obligations due to causes beyond our reasonable control, including natural disasters, war, terrorism, internet service failures, or government actions.

15.7 Language

These Terms are provided in English. Any translations are for convenience only. In case of conflict, the English version prevails.

17. ACKNOWLEDGMENT

By using Loop Music, you acknowledge that:

  • You have read and understood these Terms
  • You agree to be bound by these Terms and our Privacy Policy
  • You have the legal capacity to enter into this agreement
  • You will use Loop Music in accordance with all applicable laws
